Non-directed order

A customer order where specific instructions are not given, by the customer to the broker, pertaining to its routing destination.

Non-contributory pension plan
A pension plan that is fully paid for by the employer, requiring no employee contributions.

Non-convertible currency
Any currency that is used primarily for domestic transactions and is not openly traded on a forex market, usually due to government restrictions on the currency which prevent it from being exchanged for foreign currencies.

Non-cumulative
Applies mainly to convertible securities. Type of preferred stock on which unpaid or Omitted dividends do not accrue.

Non-cumulative preferred stock
Preferred stock whose holders must forgo dividend payments when the company misses a dividend payment.

A financial market in which borrowers (government and large corporations) appeal directly to savers for debt capital through the securities markets without using a financial institution as intermediary.

Non-marketable security
Securities that cannot be easily bought and sold.

Non-marketed claims
Claims that cannot be easily bought and sold in the financial markets, such as those of the government and litigants in lawsuits.

Non-member bank
Depository institution that is not a member of the Federal Reserve System. Specifically, a state-chartered commercial bank that has elected not to join the System.

Non-member firm
Used for listed equity securities. Brokerage firm that is not a member of an organized exchange (NYSE). Such firms execute trades either through member firms, or on regional exchanges where they are members, or in the third market.

1) A term relating to the price of a good or security which is firmly established and cannot be adjusted. 2) A term relating to a good or security whose ownership is not easily transferable from one party to another.

Non-purpose loan
A loan with securities pledged as collateral, but which is not to be used in securities trading or transactions.

Non-qualified plan
A retirement plan that does not meet the IRS requirements for favorable tax treatment.

Non-qualifying annuity
An annuity that does not fall under an IRS-approved pension plan. Contributions are made with after-tax dollars, but earnings can accumulate tax-deferred until withdrawal.

Non-qualifying investment
An investment that does not qualify for any level of tax-deferred or tax-exempt status. Investments of this sort are made with after-tax money.

Non-qualifying life policy
A life assurance policy which does not satisfy the requirements of the Inland Revenue and does not qualify for certain tax relief.

Non-qualifying stock option
An employee stock option that does not satisfy IRS qualifying rules and therefore is liable for taxation upon exercise .

Non-rated
A bond that has not been rated by a large rating agency, usually because the issue is too small.

Non-recourse
In the case of default, the lender has no ability to claim assets over and above what the limited partners contributed.

Non-recourse debt
A loan that is secured by some sort of collateral, usually property.

Non-recourse finance
A loan where the lending bank is only entitled to repayment from the profits of the project the loan is funding, not from other assets of the borrower.

Non-recourse loan
A loan for which no partner or related person bears the economic risk of loss.

Non-recurring charge
A one-time expense or credit shown in a company's financial statement.

Non-redeemable
Not permitted, under the terms of an indenture, to be redeemed.

Non-refundable
Not permitted, under the terms of an indenture, to be refundable.

Non-regular way
A trade made with stated conditions, such as a cash sale, which may have delivery and settlement terms that are different from the standard procedures.

Non-renounceable rights
An offer issued by a corporation to shareholders to purchase more shares of the corporation (usually at a discount).

A tangible asset with unique physical properties, like a parcel of land, a mine, or a work of art.
